Terms of use.

The service

Vercis is a non-discretionary research portal operated by FolioX, a Canadian sole-founder research entity (incorporation pending). The portal publishes systematic allocation models, macro signal output, and portfolio diagnostics. Use of the portal is governed by these terms.

Beta notice. The portal is currently in beta. Specifications, content, and features may change materially. Pricing is not committed during the beta. By continuing to use the portal you agree to the beta-period characteristics described in these terms.

What the portal is not

• Not investment advice. The signals and allocations published in the portal are non-discretionary research output. They are not a recommendation that you buy, sell, or hold any security. They are not personalised investment advice and do not account for your financial situation, tax position, or objectives.
• Not a registered investment adviser relationship. FolioX is not registered as an investment adviser in any jurisdiction. The research is published under the non-discretionary research exemptions of the Ontario Securities Commission in Canada and the SEC research-publisher regime in the United States. • Not a fund, manager, or custodian. FolioX does not custody assets, execute trades, or operate any pooled vehicle. The portal does not hold subscriber funds.

Access

Access is open via self-serve sign-up during the beta. By creating an account you represent that you are at least 18 years old and that you are accessing the portal for legitimate research, due-diligence, or investment-process purposes. You may not access the portal if you are subject to applicable sanctions or trade restrictions, or if you have previously been banned by the firm.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify the firm promptly of any unauthorised access.

Permitted use

Subject to these terms, FolioX grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access the portal for your firm's internal research, investment-process integration, and committee preparation. You may export, screenshot, or summarise content for internal IC materials, provided that the firm and the specific research product are cited and the model output is not represented as your firm's own analysis.

You may not:

• Republish the signal output, methodology pages, or commentary externally without prior written consent.
• Resell, sublicense, or otherwise commercialise access to the portal.
• Scrape, mirror, or systematically extract content other than via the documented interfaces.
• Use the content to train any third-party machine-learning model.
• Reverse-engineer or attempt to extract the signal pipelines, scoring code, or proprietary data sources.

Subscription, billing, and cancellation

Pricing is not committed during the beta. Subscribers who join during the beta will receive the same engagement terms while pricing tiers are finalised. Once production pricing is set, existing subscribers will receive at least 30 days' written notice prior to any change taking effect. You may close your account at any time via the account settings; closure terminates your right to access the portal but does not unwind any usage to date.

No warranties; limitation of liability

The portal and its content are provided “as is” and “as available” with no warranty of any kind. We do not guarantee that the signals will be profitable, that historical backtests will be repeated, that the portal will be available without interruption, or that the content will be free of errors. Past performance, including pre-registered backtest results, is not indicative of future results.

To the maximum extent permitted by applicable law, FolioX's aggregate liability arising out of or relating to your use of the portal will not exceed the fees you have paid the firm in the 12 months preceding the event giving rise to the claim. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages. These limitations are an essential element of the bargain.

Intellectual property

All signal pipelines, scoring code, methodology documents, commentary, and visual design in the portal are owned by FolioX. Subject to your permitted use above, no licence is granted. You retain ownership of any portfolio data you upload; you grant FolioX a limited licence to use that data solely to compute the diagnostics you request.

Termination

The firm may suspend or terminate access for material breach of these terms, for non-payment after written notice (once pricing is committed), or for activity that threatens portal integrity. On termination, you must cease use of the portal; sections regarding intellectual property, limitation of liability, and governing law survive.

Governing law

These terms are governed by the laws of the Province of Ontario, Canada and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the courts of Ontario for any dispute arising out of or relating to these terms or the portal, subject to any non-waivable consumer-protection statute applicable in your jurisdiction of residence.

Changes

These terms may be revised as the service and pricing evolve and as external counsel finalises the production version. Material changes will be notified to active subscribers at least 14 days before taking effect.
